Terms of service
Last updated
These terms explain the agreement between you and us when you use Shmor: what the service does, how the trial and subscriptions work, how renewal and cancellation work, what happens to the data you send, and what each of us is responsible for. Please read them before you start. If you are a consumer, nothing in these terms affects your statutory rights.
1. Who we are
Shmor is operated by Metamindz Limited, a company registered in England and Wales with company number 11831397. Our registered office is 71-75 Shelton Street, London, WC2H 9JQ, and our office is at 76-78 Portland Place, London, W1B 1NT. Our VAT number is GB317208032.
In these terms, “we”, “us” and “our” mean Metamindz Limited. “You” means the person using Shmor, or the organisation on whose behalf you use it.
You can contact us at hello@metamindz.co.uk.
2. What Shmor does
Shmor is a messaging bot that adds the people you meet to a customer relationship management system (CRM). You send Shmor messages from a linked Telegram account, or forward emails to Shmor at in@emails.useshmor.com (or your private forwarding address). Shmor on WhatsApp is coming soon and is not available yet. Your CRM is either ShmorCRM, the simple CRM built into Shmor, or one Attio or HubSpot account that you connect. When you send Shmor a message or email about someone, such as a screenshot, a photo of a business card, a voice note, a LinkedIn link, an introduction or text, Shmor:
- reads the message, using an AI model, to work out the person’s and company’s details and what you said about them;
- finds or creates the company and the person in your CRM and updates them;
- adds a note and, where you want one, a follow-up task;
- on plans that include it, creates a deal when you ask it to; and
- replies to you in the chat, or by email for a forwarded email, with what it saved, and asks about anything it could not work out.
ShmorCRM. New accounts start with ShmorCRM switched on, so you can use Shmor without another CRM. It is meant as a starting point: you can connect Attio or HubSpot at any time, and switch back. ShmorCRM and Attio or HubSpot never sync. Switching changes where new contacts go, and records already saved stay where they are; you can export ShmorCRM records as a CSV file to take them with you.
- Record limits. Each plan includes a maximum number of ShmorCRM records, shown on our pricing page. People, companies and deals count as records; notes and tasks do not. When ShmorCRM is full, Shmor stops saving new contacts to it, without using a capture, until you delete records or choose a plan with a higher limit. If you move to a plan with a lower limit, records above it stay, but you cannot add new ones.
- When your plan ends. If your trial or subscription ends, your ShmorCRM records become read-only: you can still view, export and delete them, but not add or edit them, until you choose a plan. They stay until you delete them or close your account.
- Retention. You can delete records one by one or all at once, and choose to delete records automatically after 6, 12 or 24 months without an update.
Forwarding emails. You can forward emails to in@emails.useshmor.com. Shmor recognises you by the address you forward from: your account email address or other addresses you have confirmed, and each address can belong to one Shmor account only. Emails to in@emails.useshmor.com are only read if they pass the sending domain's authentication (DMARC). Each user also has a private forwarding address for mailboxes that fail that check; keep it private, and replace it at any time, which stops the old one working. Shmor ignores emails from addresses it does not recognise without replying. It reads the email’s text and up to 5 attachments of up to 10 MB each.
Automated outputs. Shmor’s readings of your messages are produced automatically and can contain mistakes, for example a misread name or a wrong company. Shmor shows you what it saved so you can check it. You are responsible for checking records before you rely on them.
We may add, change or remove features over time. If a change significantly reduces what a paid plan includes, we will tell you in advance and you may cancel.
3. Your account
Signing up. You create an account by signing in with your email address. You must give accurate details and keep access to your email and your linked messaging accounts secure. You are responsible for activity under your account, including messages sent to Shmor from a messaging account you have linked.
Age and use. You must be 18 or over to use Shmor. Shmor is intended for business and professional use, such as building and managing business relationships. Where these terms treat consumers and business users differently, we say so.
One person, one CRM. Each account is for one person and uses one CRM at a time (ShmorCRM, or one Attio or HubSpot account), unless your plan says otherwise.
4. The free trial
Every new account starts with a free trial. The current length of the trial and the number of captures it includes are shown on our pricing page. You do not need to give card details to start the trial. When the trial ends or its captures are used up, Shmor stops processing new messages until you choose a paid plan. One trial is available per person; you must not create accounts to get further trials.
5. Plans, captures and fair use
The current plans, prices and what each includes are shown on our pricing page and in your account.
Captures. Plans include a number of captures per billing period. One capture is one message with up to one image (or one forwarded email with up to 5 attachments) and up to 2 minutes of audio, plus up to 3 follow-up replies about the same contact. Longer audio uses an extra capture for each started 2 minutes, and further replies use further captures. Unused captures do not carry over to the next period.
Top-ups. On paid plans you can buy extra captures. Top-up captures last until the end of the billing period in which you buy them.
Fair use and cost limits. Each plan has a limit on the processing cost it can use in a billing period, to protect the service from abuse and from unexpected changes in our providers’ prices. In normal use you will not reach it. If an account approaches the limit, Shmor may switch to a lower-cost AI model, and if the limit is reached, Shmor may stop processing new messages until the next billing period. We will tell you in the chat when this happens.
6. Prices and payment
Prices are in pounds sterling and exclude VAT, which is added at checkout where it applies. Payments are processed by Stripe; we do not see or store your full card details.
If we change the price of a plan, we will tell you at least 30 days before the new price applies to your subscription, and you may cancel before then.
If a renewal payment fails, Stripe will retry it. If payment cannot be collected, your subscription ends and Shmor stops processing new messages until you choose a plan again.
7. Automatic renewal and cancellation
Renewal. Paid subscriptions renew automatically at the end of each billing period, monthly or yearly as you chose, until you cancel.
How to cancel. Sign in, open Billing and manage your subscription. You can cancel at any time. You do not need to contact us.
When cancellation takes effect. At the end of the current billing period. You keep your plan until then.
Your right to cancel. If you are a consumer, you may have a legal right to cancel within 14 days of buying. Our cancellation and refunds page explains how it works and our refund position. It forms part of these terms.
8. Your content and your CRM data
What you send. The messages and emails you send to Shmor (“your content”) and the records in your CRM, including ShmorCRM, belong to you or to whoever you received them from. We do not claim ownership of them.
The licence you give us. You give us a non-exclusive, worldwide, royalty-free licence to receive, process, store and transmit your content, to read and write records in your connected CRM, and to keep your ShmorCRM records, only as needed to provide Shmor to you. This includes passing your content to the service providers listed on our sub-processors page for that purpose.
What we keep. If you use Attio or HubSpot, Shmor writes the details of the people you capture to your CRM and does not keep them in its own database. If you use ShmorCRM, Shmor stores those details for you, with the text of the message, email or voice transcript behind each one (never images or audio), until you delete them or your auto-delete setting removes them. Our privacy notice sets out exactly what we keep and for how long, including what our providers hold while a message is processed.
Your ShmorCRM records. You are responsible for the contacts you store in ShmorCRM: for having a lawful basis to keep them, for keeping them accurate, and for deleting them when you no longer need them. We keep them secure and process them only on your instructions, as our data processing addendum sets out, but we do not check what you store.
CRM access. When you connect Attio or HubSpot, you authorise Shmor to read and write the records, fields, notes, tasks and deals it needs. Shmor adds a small number of its own fields, described on our website. You can disconnect your CRM from your account at any time, and you can also remove Shmor’s access in your CRM’s own settings.
No training. We do not use your content to train AI models, and our AI provider’s terms for our account do not allow it to use our API data for training.
The people you capture. Your content will usually contain personal data about other people. For that data you are the controller and we are your processor, on the terms of our data processing addendum, which forms part of these terms. You are responsible for having a lawful basis to record those people’s details in your CRM, including ShmorCRM, and for responding to their requests about it. You must only forward emails you are entitled to share with us.
9. Third-party services
Shmor works with services we do not control: Telegram, Resend (which receives the emails you forward), Attio, HubSpot, OpenAI and, if you add your own key, Apollo. Your use of Telegram, your email provider, your CRM and Apollo is also governed by their own terms, which you are responsible for following.
- Messaging and email. If Telegram changes, limits or stops access for bots like Shmor, or our email provider stops receiving emails for us, the relevant channel may stop working. We will tell you if that happens and, if a paid feature becomes unavailable for a significant time, you may cancel.
- Your CRM. If your CRM changes its interface or your access to it lapses, Shmor may be unable to write records until it is fixed or reconnected.
- Apollo. If you add your own Apollo API key, Shmor uses it only to look up LinkedIn links you send. Lookups use your Apollo credits and are subject to Apollo’s terms. We store your key encrypted and it cannot be read back.
10. Acceptable use
You must follow our acceptable use policy. It forms part of these terms.
11. Our intellectual property
Shmor, including its software, design and brand, belongs to us or our licensors. We give you a personal, non-transferable right to use Shmor in line with these terms.
12. Availability
We aim to keep Shmor available and to process messages promptly, but we cannot promise that it will always be available, uninterrupted or error-free. We may suspend the service for maintenance, security or reasons outside our control. If a message fails to process, the capture it reserved is released.
13. Suspension and ending the agreement
By you. You can stop using Shmor at any time. To close your account, email us at hello@metamindz.co.uk from the address on your account and we will delete it, including your ShmorCRM records. Export them first if you want to keep them. If you have an active paid subscription, cancel it first or ask us to cancel it when you write.
By us. We may suspend or close your account if you seriously or repeatedly break these terms or the acceptable use policy, if we must do so by law, or to protect the service or other users. Where it is reasonable, we will tell you first and give you a chance to put things right. If we close your account for reasons other than your breach, we will refund any payment for the unused part of a paid period.
We keep billing records after an account is closed, because the law requires us to keep tax records.
14. Our responsibility to you
If you are a consumer. We provide Shmor with reasonable care and skill, as the Consumer Rights Act 2015 requires. We are responsible for loss or damage you suffer that is a foreseeable result of our breaking these terms or failing to use reasonable care and skill. We are not responsible for business losses.
If you are a business user. We are not liable for loss of profit, revenue, business, goodwill or anticipated savings, for loss or corruption of data in third-party systems such as your CRM beyond restoring what we wrote, or for any indirect or consequential loss. Our total liability to you in any 12-month period is limited to the greater of the amount you paid us in that period and £100.
For everyone. Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited or excluded by law.
15. Complaints
If you are unhappy with Shmor, contact us at hello@metamindz.co.uk and we will try to resolve it quickly.
16. Changes to these terms
We may update these terms, for example to reflect changes to the service or the law. We will tell you about material changes by email or in the app before they take effect. If you do not agree, you can cancel before they apply.
17. General
If a court finds part of these terms unenforceable, the rest still applies. If we do not enforce a right straight away, we can still enforce it later. You may not transfer your rights under these terms to anyone else without our agreement. We may transfer our rights and obligations to another organisation, and will tell you if we do; if you are unhappy with the transfer you may cancel. Nobody else has any rights under these terms.
18. Governing law
These terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction. If you are a consumer living in Scotland or Northern Ireland, you can also bring proceedings in the courts where you live, and you keep the benefit of any mandatory consumer protection law there.
